Terms and Conditions

1. Introduction
These Terms and Conditions ("Agreement") govern the use of IT solutions and services provided by 123comsetup It Solutions and Traders, hereafter referred to as "Company." By engaging with our services, you agree to comply with and be bound by this Agreement.
2. Services Provided
The Company offers a range of IT solutions, including but not limited to:
- Software development and support.
- IT infrastructure setup and management.
- Cloud services and solutions.
- Managed IT services.
- Cybersecurity services.
- Technical consulting and training.
Details of specific services will be outlined in a separate Service Agreement or Proposal.
3. Client Responsibilities
The Client agrees to:
- Provide accurate and up-to-date information necessary for the provision of services.
- Ensure timely payment of invoices as per agreed terms.
- Maintain the confidentiality of any proprietary tools, software, or methodologies shared by the Company.
- Ensure proper backups of data unless otherwise agreed that the Company will manage backups.
4. Company Responsibilities
The Company agrees to:
- Provide services with reasonable skill and care.
- Ensure the confidentiality of the Client's data and information.
- Notify the Client promptly of any significant issues that may affect service delivery.
- Adhere to applicable laws and industry standards.
5. Payment Terms
- Payment shall be made as per the agreed pricing and schedule outlined in the Service Agreement or invoice.
- Late payments may incur interest charges of [10% per month] or as permitted by law.
- All prices are exclusive of applicable taxes unless stated otherwise.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the engagement. This obligation shall survive the termination of this Agreement.
7. Intellectual Property
- Any software, tools, or documentation developed by the Company for the Client shall remain the property of the Company unless otherwise agreed in writing.
- The Client is granted a non-exclusive, non-transferable license to use such materials for its intended purpose.
8. Limitation of Liability
The Company is not liable for:
- Indirect, consequential, or incidental damages arising from the use of its services.
- Losses resulting from third-party actions or software/hardware failures outside the Company's control.
- Breaches caused by the Client's failure to maintain adequate security practices.
9. Warranties and Disclaimers
The Company provides services "as is" without any warranties, express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose. The Company does not guarantee uninterrupted or error-free service.
10. Termination
- Either party may terminate the agreement by providing written notice.
- The Company reserves the right to terminate services immediately in the event of non-payment or breach of this Agreement.
11. Dispute Resolution
Any disputes shall be resolved through good-faith negotiations. If unresolved, disputes shall be subject to arbitration in accordance with the rules of Company Laws of Indian Govt.
12. Governing Law
This Agreement is governed by the laws of Indian Govt, and any legal proceedings shall be conducted in the courts of Aligarh.
13. Amendments
The Company reserves the right to amend these Terms and Conditions at any time. Clients will be notified of any changes in advance.
